The leading travel retail firm Dufry AG has announced that it entered into a definitive agreement to acquire all the equity interests in travel retail company Hudson it does not already own for USD 7.70 in cash per Hudson Class A share

  • Upon completion of the Transaction Hudson will be delisted from the New York Stock Exchange.
  • Dufry intends to finance the proposed Transaction through an equity capital increase by way of a rights issue upon approval of Dufry’s shareholders at an extraordinary general meeting.

The major contracts and expansions by Dufry are featured below:

November 2019: Dufry has successfully closed the acquisition of the 60% stake of RegStaer Vnukovo in Mosco, Russia. With this deal Dufry further consolidated its position in Russia, which includes the existing operations in St. Petersburg, Sochi and Krasnodar. The operation at Vnukovo airport features a long-term concession until 2035.

November 2019, Dufry signed a new contract with Flughafen Zürich AG (Zurich Airport) to create five Hudson convenience stores, three of which will be in Terminal A and two in Terminal B and D, thus serving both the Schengen and the Non-Schengen departure areas.

August 2019, Dufry announced the opening of its first Brazil duty-free border shop with a retail space of 850 m2 in Uruguaiana city of Brazil. Dufry offers a wide assortment of the main traditional duty-free product categories.

July 2019, Dufry has signed a seven year contract with Finavia to operate seven new luxury and premium retail shops at Helsinki Airport. A total of 700 m² of retail space will be added in both the Schengen and Non Schengen areas of the airport. This contract further strengthens Dufry’s position at Helsinki airport, where it will continue to operate its three main tax and duty free stores and several specialty units, occupying a total of nearly 4,000 m².
